These Terms of Use govern access to and use of the Sustainify AI platform, website and all related services operated by Codedevza AI Ltd. By accessing or using Sustainify AI in any capacity you agree to these Terms in full. If you do not agree, do not access or use the platform.

1. About Sustainify AI

Sustainify AI is a cloud-based carbon accounting, ESG reporting and sustainability management platform owned and operated by Codedevza AI Ltd, a company registered in England and Wales. The platform serves organisations managing property portfolios, including their tenants, suppliers and auditors, across Scope 1, 2 and 3 emissions tracking, compliance reporting, financial analysis, social value and reduction planning.

2. Scope of These Terms

These Terms apply to:

  • The Sustainify AI platform at sustainifyai.co.uk
  • All user roles including Org Admin, Building Manager, Data Entry, Tenant, Supplier and Auditor
  • All data submissions, reports, exports and outputs generated through the platform
  • Any trial, demo or proof of concept access
  • All support, onboarding and communication through the platform or website
  • Any integration or third-party connection configured within the platform

Where a separate written subscription or master services agreement exists between Codedevza AI Ltd and the subscribing organisation, that agreement takes precedence over these Terms.

3. Acceptance of Terms

The following acts constitute full acceptance of these Terms:

  • Accessing or logging into the platform
  • Submitting any data through the platform
  • Requesting a demo or trial
  • Paying a subscription invoice
  • Approving a proposal or quotation
  • Participating in onboarding

You cannot claim unfamiliarity with these Terms after any of the above actions.

4. Access and Availability

4.1 Access to Sustainify AI is provided on an as-available basis.

4.2 Codedevza AI Ltd may modify, restrict, suspend or terminate access at any time for security, maintenance, legal or operational reasons without notice or liability.

4.3 We do not guarantee:

  • Uninterrupted or continuous platform availability
  • Error-free operation
  • Compatibility with all devices, browsers or third-party systems
  • Any specific uptime level

4.4 Codedevza AI Ltd is not liable for any loss, damage or inconvenience arising from platform downtime, interruption, maintenance or suspension.

5. Acceptable Use

You agree not to:

  • Attempt unauthorised access to any part of the platform, its infrastructure or any other user's data
  • Interfere with platform security, performance or availability
  • Introduce malicious code, viruses or harmful content
  • Use the platform for any unlawful, fraudulent or harmful purpose
  • Scrape, harvest or extract platform data without prior written permission from Codedevza AI Ltd
  • Share, transfer or sell access credentials to unauthorised individuals
  • Circumvent any access controls, authentication mechanisms or security features
  • Use the platform in a manner that violates any applicable law or regulation
  • Attempt to reverse engineer, decompile or extract any underlying code, model or algorithm

Breach of any acceptable use condition may result in immediate account suspension, termination and legal action.

6. User Roles and Responsibilities

6.1 The subscribing organisation is solely responsible for managing all user roles within their account including Org Admins, Building Managers, Data Entry users, Tenants, Suppliers and Auditors.

6.2 The subscribing organisation is responsible for ensuring all users within their portfolio comply with these Terms.

6.3 Codedevza AI Ltd is not liable for actions taken by any user within the subscribing organisation's account.

6.4 The subscribing organisation must revoke access promptly for any user who leaves the organisation or no longer requires access.

7. Data Submitted by Users

7.1 Users are solely and entirely responsible for the accuracy, completeness, lawfulness and appropriateness of all data submitted to the platform including emissions data, energy data, waste data, financial data, social value data and compliance information.

7.2 Codedevza AI Ltd does not verify, validate, audit or take any responsibility for data submitted by users, tenants, suppliers or any third party.

7.3 Codedevza AI Ltd is not liable for any loss, compliance failure, regulatory penalty, financial damage or reputational harm arising from inaccurate, incomplete, misleading or unlawful data submitted through the platform.

7.4 By submitting data to the platform, users confirm they have the legal right to submit that data and that doing so does not violate any third-party rights or applicable law.

8. Platform Outputs and Accuracy

8.1 All emissions calculations, ESG reports, compliance outputs, financial analyses, target projections, intensity metrics and AI-generated content produced by Sustainify AI are provided for informational and operational guidance purposes only.

8.2 Codedevza AI Ltd does not warrant or guarantee:

  • The accuracy or completeness of any platform output
  • That outputs will satisfy specific regulatory or compliance requirements
  • That calculations will be free from errors or omissions
  • That reports will be accepted by any regulatory body, auditor, certification scheme or investor
  • That AI-generated insights or recommendations are correct or suitable for any specific purpose

8.3 Users are solely responsible for reviewing, verifying and validating all platform outputs before relying on them for any compliance, regulatory, investment, reporting or commercial purpose.

8.4 Codedevza AI Ltd accepts no liability whatsoever for any compliance failure, regulatory penalty, financial loss, reputational damage or any other harm arising from reliance on platform outputs.

9. Intellectual Property

9.1 All intellectual property in Sustainify AI is owned exclusively by Codedevza AI Ltd at all times. This includes without limitation:

  • Software, source code and compiled code
  • Calculation engines and algorithms
  • AI models and machine learning components
  • Dashboards, UI elements and design
  • Reports, templates and documentation
  • Branding, trademarks and visual identity
  • All updates, enhancements and derivative works

9.2 Nothing in these Terms transfers any intellectual property rights to any user or subscribing organisation.

9.3 Users receive a limited, revocable, non-exclusive, non-transferable licence to access and use the platform solely for their own internal purposes during the active subscription period.

9.4 You may not:

  • Copy, reproduce or distribute any part of the platform
  • Reverse engineer, decompile or disassemble any component
  • Modify, adapt or create derivative works
  • Resell, sublicence or provide access to unauthorised parties
  • White-label or rebrand any part of the platform

9.5 Any breach of these intellectual property terms terminates the licence immediately.

10. No Refunds

All subscription fees paid to Codedevza AI Ltd are strictly non-refundable. This applies in all circumstances including:

  • Cancellation at any point during the subscription term
  • Early termination by either party
  • Dissatisfaction with platform outputs or functionality
  • Changes in the subscribing organisation's requirements
  • Technical issues outside Codedevza AI Ltd's reasonable control

No exceptions apply.

11. Third-Party Links and Integrations

11.1 Sustainify AI may reference or connect to third-party websites, services or integrations.

11.2 Codedevza AI Ltd is not responsible for the content, privacy practices, security, availability or accuracy of any third-party service.

11.3 Any integration configured by the subscribing organisation with a third-party system is the sole responsibility of the subscribing organisation. Codedevza AI Ltd is not liable for any data loss, security incident or service failure arising from third-party integrations.

12. Limitation of Liability

To the fullest extent permitted by law, Codedevza AI Ltd is not liable for:

  • Indirect or consequential loss of any kind
  • Loss of profit, revenue, opportunity or business
  • Loss of data or corruption of data
  • Reputational damage
  • Compliance penalties or regulatory fines
  • ESG misreporting or calculation errors
  • AI model outputs or recommendations
  • Third-party system failures or integration issues
  • Any loss arising from inaccurate data submitted by the Client or its users

Liability Cap: Total liability of Codedevza AI Ltd for any claim under these Terms is limited to the subscription fees paid in the preceding six months or £1,000 GBP, whichever is lower.

13. Indemnity

You agree to fully indemnify, defend and hold harmless Codedevza AI Ltd, its directors, employees and representatives against any and all claims, losses, damages, costs and expenses arising from:

  • Misuse of the platform by you or any user within your organisation
  • Inaccurate, incomplete or unlawful data submitted by you, your users, tenants or suppliers
  • Breach of these Terms
  • Violation of any applicable law or regulation
  • Unauthorised access or use within your organisation
  • Any third-party claim arising from your use of the platform

14. Data Protection

Personal data is collected and processed in accordance with the Sustainify AI Privacy Policy and Data Processing Agreement, both available at sustainifyai.co.uk. By using the platform you confirm acceptance of both documents.

15. Changes to These Terms

Codedevza AI Ltd may update these Terms at any time without prior notice. Continued use of the platform following any update constitutes full acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

16. Governing Law

These Terms are governed exclusively by the laws of England and Wales. All disputes arising from or in connection with these Terms fall under the exclusive jurisdiction of the courts of England and Wales.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will continue in full force and effect.
